Mutual Non-Disclosure Agreement

This agreement is made on [DAY] [MONTH] [YEAR] BETWEEN [ * ] ("Party A"); and 24Slides ApS, Skudehavnsvej 17A, 2150 Nordhavn, Denmark, collectively referred to as the "Parties".

Each party (the "Receiving Party") acknowledges that the other (the "Disclosing Party") has disclosed or may disclose information relating to PowerPoint presentation design services, which constitutes the Disclosing Party's "Proprietary Information".

In consideration of receiving Proprietary Information, the Receiving Party agrees to: (i) keep it strictly confidential and take reasonable protective measures; (ii) not disclose it to any third party; (iii) use it only to evaluate its relationship with the Disclosing Party; and (iv) not copy or reverse engineer it. The Receiving Party shall ensure its employees, agents, and subcontractors are bound by similar confidentiality obligations.

The Disclosing Party agrees that the above obligations shall not apply after five years from disclosure, or to information that the Receiving Party can show: (i) is publicly available without breach, (ii) was lawfully known prior to disclosure, (iii) was received from a third party without restriction, or (iv) was independently developed. Disclosure required by law or court order is permitted if the Receiving Party limits it and allows the Disclosing Party to seek protection.

Upon written request, the Receiving Party shall promptly return all Proprietary Information and related materials to the Disclosing Party, or, if return is impossible, destroy or erase them. The Receiving Party acknowledges that nothing herein obligates the Disclosing Party to disclose Proprietary Information or pursue any transaction or relationship. Each party acknowledges that no representation or warranty, express or implied, is made regarding the accuracy or completeness of any Proprietary Information, and that each party is solely responsible for its own evaluation of such information.

Failure to enforce any right under this Agreement shall not constitute a waiver. If any provision is found illegal or unenforceable, the remainder shall remain in effect. Neither party may assign its rights without the other's consent. This Agreement may be amended only in writing signed by both parties and constitutes the entire understanding between them, superseding all prior agreements, except in cases of fraud.

Regarding choice of law and venue, this Agreement shall be governed by the relevant sections of 24Slides ApS' General Terms and Conditions for Services.
